1. Scope of Services & Sprint Execution
Firestack Technologies delivers elite software architecture, custom full-stack development, headless e-commerce builds, internal admin portals, autonomous AI multi-agent pipelines, and dedicated engineering pods.
All client projects are executed in structured 2-week agile sprints with clearly defined sprint backlogs, acceptance criteria, and staging environment verification before production rollout.
2. 100% Intellectual Property & Source Code Ownership
Firestack stands firmly against proprietary agency lock-in. Our core promise is 100% client code and IP ownership.
• Assignment of Deliverables: Upon receipt of full payment for the applicable sprint or invoice, Firestack irrevocably assigns and transfers to the Client all worldwide rights, title, copyright, and interest in and to all custom source code, documentation, designs, and architectural artifacts created specifically for the Client ("Deliverables").
• Pre-Existing Agency Assets: To the extent Deliverables incorporate pre-existing general-purpose utilities, design tokens, or boilerplate libraries owned by Firestack ("Studio Atoms"), Firestack grants the Client a perpetual, irrevocable, worldwide, royalty-free, non-exclusive license to use, modify, and distribute such assets as integrated into the Deliverables.
• Private Repository Delivery: All commits are authored directly in Client-owned private GitHub/GitLab repositories from Day 1.
3. Autonomous AI Solutions & Foundation Model Disclaimers
Where Deliverables incorporate Artificial Intelligence (AI), Large Language Models (LLMs), or Multi-Agent frameworks (e.g. LangChain, Claude 3.5 Sonnet, OpenAI GPT-4o, Llama 3), the following terms apply:
• Probabilistic Nature of LLMs: Client acknowledges that generative AI models are probabilistic systems. While Firestack designs rigorous RAG guardrails, validation schemas, and automated evals, Firestack cannot warrant that LLMs will never generate hallucinated, inaccurate, or unexpected outputs.
• Zero Data Retention / Training: Firestack strictly configures enterprise API endpoints with zero data retention policies. Client proprietary data, source code, and customer records are NEVER used to train or fine-tune public foundation models.
• Third-Party Model Uptime: Firestack is not responsible for outages, rate limits, latency fluctuations, or policy changes enacted by third-party model providers (Anthropic, OpenAI, AWS Bedrock).
4. Client Obligations & Cooperation
Successful sprint velocity requires mutual engagement. The Client agrees to:
• Provide timely access to required third-party services, staging API credentials, and cloud infrastructure keys.
• Review completed sprint milestones and provide feedback or acceptance sign-off within 5 business days of sprint delivery.
• Ensure that all assets, data schemas, and design files supplied to Firestack do not infringe upon any third-party intellectual property rights.
5. 30-Day Post-Delivery Warranty & "AS IS" Disclaimers
• 30-Day Warranty: Firestack warrants that Deliverables will conform in all material respects to the agreed-upon technical specifications for a period of thirty (30) days following final sprint delivery. Firestack will promptly resolve any reproducible software defects reported within this warranty period at no additional cost.
• Disclaimer of Implied Warranties: EXCEPT AS EXPRESSLY PROVIDED HEREIN, ALL SERVICES AND DELIVERABLES ARE PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, FIRESTACK EXPRESSLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
6. Limitation of Liability
• Aggregate Liability Cap: TO THE MAXIMUM EXTENT PERMITTED BY LAW, FIRESTACK’S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR ANY ENGAGEMENT SHALL BE CAPPED AT AND NOT EXCEED THE TOTAL FEES ACTUALLY PAID BY CLIENT TO FIRESTACK IN THE THREE (3) MONTHS PRECEDING THE CLAIM.
• Consequential Damages Waiver: IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR LOST PROFIT DAMAGES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH LOSS.
7. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the substantive commercial laws without regard to conflict of law principles. Any dispute, controversy, or claim arising out of or relating to these Terms shall be settled by binding commercial arbitration administered under the rules of the Singapore International Arbitration Centre (SIAC) or the London Court of International Arbitration (LCIA), conducted in English.
Both parties agree to first engage in good-faith executive negotiations for a minimum of 14 business days before initiating formal arbitral proceedings.
